Terms of Use

These terms apply to Card Offloader, a macOS application published by Secure Password Manager Ltd. Please read section 7 in particular: it concerns your data, and it matters more here than in most software.

1. Who you are contracting with

Card Offloader is published by Secure Password Manager Ltd, a company registered in England and Wales, at 20–22 Wenlock Road, London N1 7GU, United Kingdom (“we”, “us”). You can reach us at support@cardoffloader.com.

The application is distributed through the Mac App Store. Apple is the merchant of record for that transaction: Apple takes payment, issues the receipt, and handles refunds. Your purchase is therefore also governed by Apple's terms, and by the licence agreement presented to you in the App Store. Where Apple's terms and these terms cover the same ground, Apple's terms govern the transaction and these terms govern your use of the software itself.

2. Your licence

We do not sell you the software; we grant you a licence to use it. Subject to these terms, you may install and use Card Offloader on the Macs associated with your Apple Account, for your own purposes, whether personal or commercial.

You may not:

All rights not expressly granted are reserved. The software, its name, its interface and its documentation remain our property or that of our licensors.

3. Free tier, trial and subscription

Card Offloader has a free tier with no time limit. Paid features are offered as a subscription, monthly or yearly, with a trial period as stated on the App Store listing at the time you subscribe.

Subscriptions are sold, billed, renewed and cancelled through your Apple Account. In particular:

When a subscription ends, the application returns to the free tier. Your files, your reports and your settings are not deleted or held hostage: everything already written to your drives is yours and stays where it is, in open, documented formats.

4. Refunds

Because Apple is the merchant of record, refunds are requested from Apple, through reportaproblem.apple.com, and are granted or refused under Apple's policy. We cannot issue a refund for an App Store purchase even when we would like to.

If you are a consumer in the EU or the UK, this does not affect any statutory right of withdrawal or cancellation you may have; those rights are exercised through Apple as the seller.

5. What you are responsible for

Card Offloader copies and verifies files. It never deletes, moves, renames or formats your source media — there is no such function in the application. What happens to your originals afterwards is under your control, and that is where the responsibility sits.

You agree that you are responsible for:

6. What the software does and does not claim

Card Offloader reads each file back from the destination and compares it with the source. When it reports a file as verified, that means: at that moment, the bytes read back from that destination matched the bytes read from the source.

That is a meaningful statement, and it is also a limited one. It does not mean:

The software is a tool, not an insurance policy

Card Offloader is designed to tell you the truth about a copy. It cannot recover data that was never readable, undo a card you formatted, or replace a backup strategy that does not exist.

7. Warranties, and your rights as a consumer

To the fullest extent permitted by law, and except as stated in this section, the application is provided as is and as available, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement. We do not warrant that the application will be uninterrupted, error-free, or compatible with every configuration of hardware, operating system, file system, camera format or network storage.

If you are a consumer, you have legal rights that these terms cannot take away. In the United Kingdom, the Consumer Rights Act 2015 requires digital content to be of satisfactory quality, fit for purpose and as described; in the European Union, equivalent statutory rights apply. Nothing in these terms limits or excludes those rights, and where any part of this section conflicts with them, your statutory rights prevail.

8. Limitation of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to that, and to the fullest extent permitted by law:

If you are a consumer, the exclusions above apply only to the extent permitted by the law of your country of residence, and your statutory rights are unaffected. If you use the application for business purposes, you accept that the limitations in this section are reasonable given that the application is licensed at a low price relative to the value of the material it handles, and that you remain in control of your own backup arrangements.

9. Changes to the application

We may update, change or discontinue features, including in ways that alter how the application looks or works, in order to maintain compatibility with new versions of macOS, new hardware and new file formats. Where a change materially reduces a paid feature you rely on, you may cancel your subscription through your Apple Account; that is your remedy.

We may also stop distributing the application. If we do, licences already granted continue on the terms above for the version you have, but we are not obliged to provide further updates or support.

10. Privacy

The application collects nothing. Our handling of the little data this website records is described in our privacy policy, which forms part of these terms.

11. Third-party components

The application may include third-party components licensed to us under their own terms, which are acknowledged in the application. Nothing in these terms restricts any right you have under an applicable open-source licence.

12. Changes to these terms

We may revise these terms. When we do, the date at the top of this page changes, and the revised terms apply to your use of the application from the date of publication. If a change materially reduces your rights and you do not accept it, your remedy is to stop using the application and, if you subscribe, to cancel through your Apple Account.

13. Governing law and disputes

These terms, and any dispute arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.

If you are a consumer resident in the European Union or elsewhere, this choice does not deprive you of the protection of the mandatory rules of the law of your country of habitual residence, and you may bring proceedings in the courts of that country.
